Qoollege Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, AI guide "Ollie," and related services (collectively, the "Platform") operated by Qoollege, Inc. ("Qoollege," "we," "us," or "our"). By creating an account or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Eligibility and Accounts
1.1 Age Requirements
The Platform is intended for use by students, parents/guardians, counselors, and partner organizations involved in the college and career planning process. Users under 18 may use the Platform only with the involvement or awareness of a parent or legal guardian, who may be asked to provide a valid email address for account linkage. Users under 13 may not create an account without verifiable parental consent as described in our Privacy Policy.
1.2 Account Registration
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
1.3 Account Types
The Platform supports multiple account types, including Student, Parent/Guardian, Counselor, and Partner/Affiliate accounts, each with different features and data visibility as described within the Platform.
2. The Service
Qoollege provides an education decision intelligence platform, including personalized college matching, funding and scholarship guidance, application tracking, essay support, and athletic recruiting pathway support, delivered in part through our AI guide, Ollie.
2.1 Not a Substitute for Professional Advice
Qoollege and Ollie are informational and planning tools. They do not constitute, and should not be relied upon as, legal, financial, immigration, medical, or professional admissions counseling advice. Qoollege does not guarantee admission to any institution, receipt of any scholarship or funding, or any specific academic or athletic outcome.
2.2 AI-Generated Content
Ollie's recommendations are generated using artificial intelligence based on the information you provide and available data sources. AI-generated content may contain errors or become outdated. You are responsible for independently verifying critical information (such as application deadlines, eligibility requirements, and funding amounts) directly with the relevant institution or funding source before relying on it.
3. Subscription Plans and Payment
3.1 Plan Tiers
Qoollege offers Free, Standard, and Plus subscription tiers, each with different feature access as described on our pricing page at the time of purchase.
3.2 Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected at checkout) until canceled. You authorize us to charge your chosen payment method for all applicable fees.
3.3 Cancellations and Refunds
You may cancel your paid subscription at any time through your account settings; cancellation takes effect at the end of the current billing period, and no partial refunds are provided for unused time except where required by law. Qoollege reserves the right to change subscription pricing with at least 30 days' notice before the change applies to existing subscribers.
3.4 Partner/Affiliate Commissions
Partners participating in our referral program earn commissions according to the terms presented in their partner dashboard at the time of enrollment. Qoollege reserves the right to modify commission structures prospectively, with notice to active partners.
4. Acceptable Use
You agree not to:
Use the Platform for any unlawful purpose or in violation of these Terms.
Impersonate any person or misrepresent your affiliation with any person or entity.
Upload or transmit malicious code, or attempt to interfere with the Platform's security or functionality.
Scrape, reverse-engineer, or use automated means to access the Platform except through officially supported APIs, if any.
Use Ollie to generate content that is unlawful, harassing, or intended to deceive an educational institution or funding provider (e.g., fabricated essays submitted as your own unaided work, where prohibited by an institution's academic integrity policy).
Resell or redistribute access to the Platform without our prior written consent.
We reserve the right to suspend or terminate accounts that violate these Terms.
5. User Content
5.1 Your Content
You retain ownership of content you submit to the Platform, including essays, profile information, and messages ("User Content"). By submitting User Content, you grant Qoollege a non-exclusive, worldwide, royalty-free license to use, reproduce, and process that content solely for the purpose of providing and improving the Service.
5.2 Feedback
If you provide suggestions or feedback about the Platform, we may use it without obligation or compensation to you.
6. Intellectual Property
The Platform, including its design, text, graphics, logos, and the Ollie name and branding, is owned by Qoollege or its licensors and protected by intellectual property laws. Except for the limited license to use the Platform as intended, no rights are transferred to you.
7. Third-Party Services and Links
The Platform may integrate with or link to third-party services (e.g., payment processors, college/scholarship databases, communication tools such as GoHighLevel). We are not responsible for the content, accuracy, or practices of third-party services, and your use of them may be subject to separate terms.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. QOOLLEGE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RECOMMENDATIONS, INCLUDING THOSE GENERATED BY OLLIE, WILL BE ACCURATE, COMPLETE, OR RESULT IN ANY PARTICULAR OUTCOME, INCLUDING ADMISSION OR FUNDING.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QOOLLEGE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID QOOLLEGE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Qoollege, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your User Content, or your misuse of the Platform.
11. Termination
You may terminate your account at any time through account settings or by contacting [email protected]. We may suspend or terminate your access to the Platform, with or without notice, for violation of these Terms, extended inactivity, or as required by law. Upon termination, provisions of these Terms that by their nature should survive (including Sections 6, 8, 9, 10, and 13) will continue to apply.
12. Changes to the Platform and These Terms
We may modify or discontinue features of the Platform at any time. We may update these Terms from time to time; material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
13.2 Informal Resolution
Before filing a claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally for at least 30 days.
13.3 Arbitration
If a dispute is not resolved informally, it shall be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property infringement. YOU AND QOOLLEGE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
13.4 Exceptions
Parents/guardians acting on behalf of a minor, and users in jurisdictions where pre-dispute arbitration agreements are unenforceable against consumers, retain rights available to them under applicable local law notwithstanding this Section.
14. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qoollege regarding the Platform.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any provision does not waive our right to do so later.
Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
